Bill would tax companies with wide CEO-worker pay disparities

California companies pouring big cash on their CEOs may be forced to tighten the spigot under a new bill that seeks to limit CEOs paid excessively at the expense of their workers.

Senate Bill 1372, authored by state Sens. Mark DeSaulnier (D-Concord) and Loni Hancock (D-Oakland), would increase taxes on companies with wide disparities between CEO and worker pay, and give a tax break to companies with a low ratio between CEO and worker pay.

“History has taught us that the gross disparity between CEO and worker pay is a direct threat to American democracy,” DeSaulnier said in a press statement. “It is unsustainable and a danger to our society. We must focus on restoring the middle class and stop fueling excessive income inequality.”

The pay-disparity bill cleared the Senate and Governance Finance Committee last Friday, and is headed to the Senate Appropriations Committee.

Local tech companies have much reason to fear the bill. Larry Ellison, CEO of the Redwood City-based Oracle, was paid 1,287 times the median salary of an Oracle employee in 2012, according to a Bloomberg study. Ellison pulled in $96.2 million in 2012, and the median employee working for his company brought in $74,693.

That’s less pay gap, more pay canyon. Former Secretary of Labor Robert Reich, a professor at UC Berkeley and a supporter of the pay-disparity bill, connected CEO pay with our troubled economy.

“This growing divergence between CEO pay and that of the typical American worker isn’t just wildly unfair. It’s also bad for the economy,” Reich wrote on his website last week. “It means most workers these days lack the purchasing power to buy what the economy is capable of producing — contributing to the slowest recovery on record. Meanwhile, CEOs and other top executives use their fortunes to fuel speculative booms followed by busts.”

The pay-disparity bill would lower taxes on companies with CEOs making less than 100 times more than its median employee. The tax rate for the company would be metered on a scale of CEO-to-worker pay ratio, with the highest penalties for companies paying their CEOs more than 400 times their median employee pay.

The bill also targets non-salaried independent contractors, a significant portion of the state's workers.

Many local companies have wide pay gaps between CEOs and workers. In 2012, Apple had a CEO:worker pay ratio of 192:1, Wells Fargo had a ratio of 186:1, and Intel squeaked by with a ratio of 99:1, according to PayScale.com.

The PayScale.com study only looked at non-stock compensation. CEOs are often paid in stock and other bonuses, a significant part of their earnings. In lieu of this, recently many CEOs jumped on the $1 salary bandwagon, including Google CEO Larry Page. Ellison took home a single dollar for his salary in 2013, according to CNN Money.

This seemingly forward-thinking gesture is a good PR move, but in reality CEOs still take home millions of dollars in stocks, options, and bonuses. Page owned more than 24 million shares in Google as of 2013, for instance. Ellison took in $92.2 million in stocks, options, and other pay in 2013.

Luckily, that’s a loophole that DeSaulnier and Hancock considered when crafting the bill.

The bill would calculate executive compensation based on the Summary Compensation Table the company in question reports to the Securities and Exchange Commission. That includes salary, bonus, grants of stock options and stock appreciation rights, long-term incentive plan awards, pension plans, and employment contracts and related arrangements.

In 2012, the average CEO pay in California was $5,054,959, according to a statement from DeSaulnier, while the median worker pay in California was $48,029.

The legislation applies to the state, not city, so your typical meaningless knee-jerk reaction is especially off-point. Also, states can't discriminate against taxpayers so the legislation would apply to all companies that file CA tax returns, not just those headquartered in CA.

But please, move your business to Qatar or Singapore and don't sell your products and services in either CA or the US. There are hundreds of other companies that will gladly take over your sales and then you won't have to worry your tiny brain thinking about issues like equity, fraternity and fairness.

Since you know so much about the proposed legislation why not post the language that defines which companies are covered by the law?

Does it only apply only to companies incorporated in CA? Doubt it, since not even the CA legislature is that stupid. How about only companies headquartered in CA? Doubt it, since CA companies would be livid if non-CA headquartered companies got better tax treatment when the CA companies employ far more people. If the law is not based on state of incorporation or where the CEO/company is headquartered, then their aren't too many other options other than "any business operating in CA required to file a tax return" and perhaps a size limitation (companies with more than $1 million of sales).

And again, for the millionth time, the state of incorporation is irrelevant for determining whether a company is subject to state taxation.

A California company is one that is domiciled in California. So HP is while Dell is not. The Gap is while WalMart is not. And so on.

It's largely moot as this will not pass and would in any event be bounced by the courts as an unreasonable intrusion into the way compensation is determined. And of course it is easy enough to pay people in ways that can escape any given tax.

But making stuff up just because you like this idea is pretty dumb.

Nothing in the legislation mentions "domicile," but keep making things up since you already have zero credibility.

I followed the link provided in the article. The law says:

"With the exception of banks and financial corporations, every corporation doing business within the limits of this state ...shall annually pay to the state, for the privilege of exercising its corporate franchises within this state..."

Notice the part about "doing business," and nothing about "domicile or state incorporation?

"This bill would, for taxable years beginning on and after January
1, 2015, revise that rate for taxpayers that are publicly held
corporations, as defined, and instead impose an applicable tax rate
from 7% to 13%, or for financial institutions, from 9% to 15%, based
on the compensation ratio, as defined, of the corporation. This bill
would increase the applicable tax rate by 50% for those taxpayers
that have a specified decrease in full-time employees employed in the
United States as compared to an increase in contracted and foreign
full-time employees, as described."

Notice the part that says "taxpayers?" That would be any company doing business in CA, regardless of state of incorporation, regardless if the company was foreign-owned, and regardless of where the company's headquarters is located.

The SFBG has some of the best articles on the internet, dealing with important subjects, but 80% of its commenters are dumb as rocks or blatant liars. It's the weirdest combination.

the graph doesn't have Walmart, McDonalds, Burger King, Taco Bell, Target etc... It does mention Safeway which pays OK and Wells Fargo which pays shit but advancement is a possibility.

The progressobots are going after companies that already pay OK in general here.

The narrow agenda is pretty obvious here, raise taxes on tech companies and give that money to that government, that money can fund SEIU wages and everyone wins.

My guess is that the penalty would be based on the tax return filed with the state, which would include related subsidiaries. Thus, hiding excessive CEO pay in one corporation different from where the majority of workers are paid wouldn't work, nor would moving out of state if the company continued to do business in California and filed a state tax return. If not, you're right. The legislation should be amended to look at a corporate group in total, including any subsidiaries, partnerships, trusts and "special purpose vehicles" owned or controlled by the parent corporation.

CA does not have the authority to tax anyone or any "thing" on its worldwide profits. It would be relatively easy and entirely legal for a corporation to avoid the law by shifting all its lower-paid employees to being paid by a contracting agency and thus fudge the numbers. It's pretty simple to shift tactics and in the end only tax attorneys benefit from the efforts of the state to match the nimbleness of corporations.

This is another example of progressives attempting to guarantee equality of outcome - something which never, ever works due to the variety of human experiences.

You couldn't be more wrong. A number of states, including CA, use mandatory "unitary corporate filing," which means any companies owned or controlled by the same shareholders are required to include all related companies in one combined state tax return, including their controlled foreign companies. The ownership control percentage is 50%.

The federal government also requires related companies to file one "consolidated" income tax return if there is 80% ownership of related corporations, including all subsidiaries and "brother-sister" companies.

And being incorporated in another state doesn't have any affect on where a company is required to file a tax return. (DE is a favorite state for incorporation since it has well-established and favorable corporate governance rules.)

The only way to avoid filing a state tax return is if the company doesn't conduct any business within the state, which most companies refuse to do since CA is the 10th largest economy in the entire world. Business owners are smart. It's better to earn fat profits and pay some state tax than be stupid and avoid the CA market altogether, which would get the CEO fired if they acted as stupidly as many of the commenters here.

The state was trying to tax multip-nations on their glocal revenues.

The courts rejected it as stepping on the Fed's toes, as it is the Feds who have the sole right to negotiate bi-lateral tax treaties with other nations.

It's called the "water's edge" principle. Google it. This bill is for California companies and not companies that might do some business here.

I'm sure the court case doesn't say what you think it says since you're just making things up. CA has always allowed a "water's edge election," but that means when the foreign subs pay a dividend the money is taxed in CA. That can be a terrible result for many companies since the dividends might be taxed 100% in CA. But if a WEE isn't filed, the dividends are received tax-free. Whether to file a WEE takes considerable effort and complicated modeling to figure out if it makes sense or not.

Just admit it. You're way out of your element and you're posting stupid comments just because you don't like what the SFBG stands for and because you think you're 10 times smarter than you really are. It's a common malaise of most obsessive internet posters. Be thankful the SFBG management doesn't adopt a registration system so we have to endure countless comments from obviously stupid posters like yourself. Even sfgate realized they needed to strengthen their comment system since no one likes to waste time reading repetitive and stupid comments from obsessive posters.

It's not an "election". There is no choice, because the Federal Courts and Congress mandated it. CA cannot state the profits of a German company in China. Nor even in Wyoming.

You appear to think there are no limits on the laws and taxes that the state can pass. You are wrong.

Because the treatment of transactions within the combined group differs so completely from the treatment of transactions with companies not members of the group, taxpayers may achieve significant tax savings by deciding when to undertake such transactions in relation to the effective date of a water's-edge election. Taxpayers should consider all types of intercorporate transactions, including sales of inventory, payments of dividends, payments of intragroup interest and royalties, transfers of fixed assets, as well as any corporate restructurings such as reorganizations or liquidations. By the same token, a taxpayer contemplating termination of a water's-edge election should examine whether intercompany transactions should be accelerated or deferred to take place before or after the termination of the water's-edge election.

ANALYSIS

The reasons for making a water's-edge election are numerous, as are the practical and fiscal implications.

Both foreign-based and domestic groups should thoughtfully analyze the consequences of making a water's-edge election before such an election is made. If the taxpayer makes the water's-edge election, it will have to report on a water's-edge basis for the next seven years, even if worldwide reporting would be more advantageous, for example, for four years. In addition to trying to forecast the advantages or disadvantages of a water's-edge election years into the future, the taxpayer should consider if there are any transactions it should complete or accelerate prior to the foreign affiliates leaving the group.

In some cases, simpler reporting or motivations other than tax minimization cause taxpayers to make the water's-edge election. Some foreign-based groups prefer to make the water's-edge election even if no tax savings result because they do not believe that their foreign operations and activities are proper subjects of inquiry and examination by state tax authorities..."

Do your own research. A company "doing business" in CA doesn't get to choose whether to file a unitary tax return or not. It's required by law. Hopefully no company is relying on your advice since they'd be subject to fines, taxes, penalties and tens of thousands of dollars of audit defense services. CPAs and tax lawyers love stupid companies like this since the consulting fees really add up when the FTB finds a company violating established rules.

Regardless, a US corporation cannot be taxed on foreign earnings unless they are repatriated.

Likewise a foreign corporation can only be taxed locally on local earnings.

This has been repeatedly upheld in the courts - localities do not have jurisdiction over bilateral tax treaties. Only the Feds decide that.

Not true. At all. But thanks for all of the posts to illustrate that most of the obsessive, anti-SFBG commenters are ignorant as well as stupid.

The two dozen or so states that require unitary filings impose tax on both the current earnings of domestic and their foreign affiliates. This is why corporate powerhouses Japan, Inc. and UK, Inc. have challenged the state unitary tax rules for decades because they can't hide their massive off-shore profits from the states. UK, Inc. and Japan, Inc. have lost all of the important legal fights concerning the constitutionality of unitary taxation.

Even the feds currently tax some corporate foreign earnings. Do a little research on CFC's for starters.

Conservatives like to borrow and spend (with no intent to pay it back); liberals like to borrow and spend. It's just semantics. But it *was* a Republican who took office of a country with a surplus, who started TWO wars with no way/means of paying for it. Halliburton's funky bookkeeping and billions(s) of dollars in overcharges during both wars remain uncorrected, as is the case with its KB subsidiary, with other defense subcontractors.

When Obama extended unemployment benefits once, then again, I am pretty certain laid-off/unemployed self-described conservatives didn't have their hand out too, weren't saying, "Oh, no thank you. I believe in pulling myself up by my own bootstraps." I am also pretty certain it wasn't just self-described liberals asking the government for help when they were facing foreclosure.

Why can't people just be honest and admit NEITHER party has the public's best interests at heart?

I still remember the hysteria, the homemade signs warning of the coming tsunami of socialism that the election of Obama would surely bring. The hysteria is simply part of the American psyche (of certain types of people). The tsunami of socialism, however, has yet to make an appearance. (And Sarah Palin cannot see it from her front porch.) That the Republican Party so successfully uses the red herring to distract the public, much like giving a baby a rattler or a toddler a safe toy to chew on to keep them distracted, doesn't change the FACTS, even for those who choose willingly to look about with dumb eyes and muffled hearing. Where is this Socialist America the Tea Party, the GOP, warned us of?

I see legislation that has been introduced, passed, largely by House Republicans and states with Republican majorities, that keep in place tax breaks for those at the top of the pyramid who already take advantage of tax breaks and loops designed FOR them, the tax shelters and havens that lower tax burdens just FOR those at the top of the pyramid. I see a complete unwillingness to scrap or fix a tax code so outdated and so unwieldy as to be nearly incomprehensible because as is, it most benefits those, again, at the top of the pyramid.

I see Republicans and Tea Partyers as regular as rain complaining how private industry businesses will completely collapse, fall into utter ruin, every time there is talk of raising the minimum wage even though EVERY non-partisan study ever done has disproved it. I see Republicans and Tea Partyers come nearly unglued at just the mention of replacing the minimum wage with a minimum LIVING wage. Many of these naysayers are the same corporations that pay millions of dollars for a 30-second Super Bowl commercial and pay their top executives some 100-times-plus what their company's most entry-level position pays. I see these same corporations claim again and again how they bleed red, white, and blue while they ship American jobs overseas and pay those workers less than what a tube of drugstore mascara costs. AND don't have to offer health insurance benefits because THOSE workers often already have health insurance because they DO live in a socialist country. (To put it another way, the American company that goes overseas for its employee pool and pays those employees a pittance even though it does not need to offer health insurance or other benefits, will then sell its product TO American consumers at a price point 200% higher than the actual cost to manufacture, package, and ship said product or good back to the U.S. and store shelves and make a very very tidy profit--AND pay its CEO a 7-figure salary, plus stock options--and with some creative accounting pay as little tax as it can get away with.)

But wait. It gets better. Because the same political party that does its best to keep the country agitated with its claims of the coming socialist tsunami, which, funnily enough, still fails to materialize, has rubbed off the top layer of skin on their hands from their over-enthusiastic hand-clapping that the Supreme Court has ruled corporations are people too, just with REALLY big families, and so can throw as much money as they want at their party of choice, doing their part to help buy candidates and election results. Hooray! The red herring should stand and take a bow on behalf of the GOP. Success has been achieved. They've kept the nation so afraid of the socialist bogeyman that still hasn't materialized, they never realized that the democratic republic our forefathers worked so hard to create has become an oligarchy.

Maybe the U.S. flag should be replaced, updated to reflect reality. We can keep the stripes for memory's sake, but change the stars to an image of Times Square. THAT would be a more honest reflection of what this country has become. Don't you think?
